West Coast Latvian Education Center Articles of Incorporation

As an organization working for the betterment of our community we strongly believe in transparency in everything that we do. In order to promote our values and encourage participation within, and from, the community, we have provided  the West Coast Latvian Education Center’s articles of incorporation for absolute clarity in how we, as an organization, operate.

Articles of Incorporation of the West Coast Latvian Education Center

We, the undersigned persons, acting as the incorporators of a corporation under the provisions of the Washington Nonprofit Corporations Act (Revised Code of Washington 24.030) adopt the following articles of incorporation for corporation:

Article One

The name of the corporation shall be the West Coast Latvian Education Center.

Article Two

The period of duration of the corporation shall be perpetual

Article Three

The purpose for which the corporation is organized are as follows:

To specifically foster, promote, organize and direct education al and cultural activities and events for persons of Latvian descent and/or affinity through the use of instruction, social events, performances, literary and other presentations, as well as any other means of providing exposure to the Latvian cultural climate and experience.

To further have and exercise all powers and rights conferred on not for profit corporations under the laws of the State of Washington.  This corporation is not organized, nor shall it be operated, for pecuniary gain or profit, and does not contemplate the distribution of gains, profits or dividends to the members thereof and is organized solely for nonprofit purposes.  The property, assets, profits and net income of this corporation are irrevocably dedicated to charitable and educational purposes and no part of the profits or net income of this corporation shall ever inure to the benefit of any director, officer, or member thereof or to the benefit of any private shareholder or individual.

In the event of dissolution of the corporation, the net assets are to be distributed as follows:  The corporation assets remaining after payment of, or provision for payment of, all debts and liabilities of this corporation, shall be distributed to a nonprofit fund, foundation or corporation, which is organized and operated exclusively for charitable and educational purposes and which has established its tax exempt status under Internal Revenue Code.

Corporation is dissolved are any charitable, nonprofit legal entity, as set out in Article Three.

ARTICLES OF AMENDMENT TO ARTICLES OF INCORPORATION OF WEST COAST LATVIAN EDUCATION CENTER

To Ralph Munro, the Secretary of State of the State of Washington:

Articles of amendment of the articles of incorporation of the West Coast Latvian Education Center, a nonprofit Washington corporation, are herein executed in duplicate by the said corporation, as follows:

  1. The name of the corporation is West Coast Latvian Education Center.
  2. The amendment to articles of incorporation adopted by said corporation is as follows: Article three of the articles of incorporation has the following paragraph added:  Notwithstanding any other provision of these articles, the corporation shall not carry on any other activities not permitted to be carried on by an organization exempt from Federal income tax under Section 501(c) (3) of the Internal Revenue Code.
  3. There are no members of said corporation. A meeting Board of Directors of said corporation was help on September28, 1992, at which said meeting said amendment was adopted; said amendment received the vote of a majority of said directors in office.
